Terms of Service

Welcome to MLynch (“MLynch,” “we,” or “us”). By accessing or using our websites, products, and services (collectively referred to as the “Services”), you agree to be bound by these Terms of Service (“Agreement”). If you do not agree to any of the terms stated in this Agreement, please refrain from using our Services.

1. Services – General Terms

1.1 MLynch Materials: Our Services, including systems, databases, and all content (“MLynch Materials”), are the exclusive property of MLynch or its licensors. Third-party software included in our Services is governed by additional terms. The use of MLynch Materials may also be subject to specific Product Terms, which prevail in case of conflict.

1.2 MLynch Websites: MLynch offers products and services through various Websites, each governed by unique Website Terms. For clarity, “Websites” include www.mlynch.org and affiliated sites.

1.3 Grant of Access: Subject to compliance with this Agreement and any Supplemental Terms, MLynch grants you a limited, non-transferable right to access and use the Services for personal or non-commercial purposes. Any unauthorized use beyond this Agreement is strictly prohibited.

1.4 Modification: MLynch reserves the right to modify or discontinue any aspect of the Services without prior notice. Bug fixes, updates, and patches may be applied at our discretion.

1.5 Removal of Access: MLynch may suspend or terminate your access to the Services at any time for reasons including breach of this Agreement or technical issues. Such actions are at our sole discretion.

1.6 Defects and Availability: While we make reasonable efforts to maintain the Services, we do not guarantee uninterrupted availability. MLynch is not liable for any damages resulting from service interruptions or defects.

1.7 Restrictions: You may not sublicense, modify, or exploit the Services beyond the terms of this Agreement. MLynch Materials must not be used for unlawful purposes or to infringe intellectual property rights.

2. Establishing and Maintaining an Account

Access to certain Services may require registration, subject to applicable Supplemental Terms.

3. Ownership

3.1 MLynch Materials and Third-party Content: MLynch Materials are protected by intellectual property laws. You agree that MLynch or its licensors exclusively own all rights to the Services and MLynch IP. Your Content, when uploaded, is subject to our license terms.

3.2 Your Content: By submitting content to the Services, you grant MLynch a license to use, copy, and display such content. This license allows us to provide and improve our Services.

3.3 Content Restrictions: You may not upload content that violates intellectual property rights or promotes unlawful activities. MLynch reserves the right to remove or amend any content violating these terms.

3.4 Feedback: Feedback provided to MLynch becomes our property, allowing us to use it for various purposes. You waive any moral rights to such Feedback.

3.5 Third-party Materials: MLynch is not responsible for Third Party Materials linked within our Services. Users are encouraged to review separate terms of use for these materials.

4. Representations

You represent and warrant the accuracy of information provided, compliance with this Agreement, and the lawful use of our Services. MLynch is not liable for legal violations resulting from your use of the Services.

5. Disclaimers of Warranty

MLynch provides Services “as is,” without warranties of any kind. We do not guarantee uninterrupted access or the accuracy of information provided. Users assume all risks associated with Service usage.

6. Indemnity and Limitation of Liability

You agree to indemnify MLynch against any claims arising from your use of our Services. MLynch’s liability is limited to one hundred dollars ($100.00). California residents waive certain rights under California law.

7. Dispute Resolution and Governing Law

This Agreement is governed by the laws of the Colorado. Disputes shall be resolved through negotiation, with arbitration as the next step if negotiation fails.
